Tier 2
- Geo: Houston, Austin, Dallas, San Antonio preferred. Will consider outside of TX.
- EBITDA: $2-4M. A $3M EBITDA Co at a 2-3x multiple would be great. Needs to be under a 5x multiple.
- recurring revenue, >80% preferred. Product or service ok.
- low customer concentration. No one client >15% of Rev
- >30% net margins
- Low capex
- B2B and B2C are good
- No bars, restaurants, or project/construction based revenue.
- In an industry that isn't shrinking
- How we purchase these: traditional mix of investor equity and debt (usually SBA and/or conventional)
- Examples: utility service Co's (treatment plant operators, infrastructure maintenance/repair, equipment/chemical suppliers, waste management), Property management co's (res, comm, str), Home services (Plumbing, electrical, HVAC, pest, restoration, etc), cybersecurity, education, distribution, elderly/senior care, etc
Tier 3
Any company that is open to seller financing and has >$300k SDE
Tier 4
Expired listings. Will pay a referral fee if we buy an expired listing you send to us.
Tier 5
We have a program for companies to maximize their exit value and be attractive to institutional buyers. The company stays listed with you, and we take it on as a client helping it structure for its best exit, getting you a bigger commission when it sells.
Tier 6
Turn downs: When you are going to turn a company away, direct it towards us so that we can help it improve its business. We will pay a referral fee for those companies we sign on as clients in this category.
Our Approach.
We are targeting the industries where current demand for acquisitions is high. Within those, we gain the agreement of multiple sellers to participate in a single transaction where the aggregate value makes the deal attractive for all parties. To facilitate this, we also conduct a process of due diligence to ensure the quality of the companies and position them for the exit. From this, we are able to provide a post-acquisition plan of action to speed integrations and further value creation.
